General terms and conditions Komboo BV

1. By placing an order, the customer explicitly accepts these general terms and conditions, to the exclusion of their own. The delivery or execution of the agreement serves as proof of this acceptance without reservation.

2. All offers are non-binding and valid for 30 days unless stated otherwise.

3. By ordering alcoholic products, the customer declares to have reached the minimum age of 16.

4. Prices include VAT and all applicable taxes. Shipping costs are added on top of the price and are clearly shown when placing the order. Prices may be adjusted in line with external price increases.

5. An agreement is only concluded after written confirmation by KOMBOO or by the actual execution of the delivery.

6. KOMBOO’s invoices must be paid in advance via the offered payment methods, unless agreed otherwise. If payment is not made in advance, KOMBOO is entitled to suspend execution of the agreement until payment is received. The customer expressly waives any right to suspend or withhold payment.

7. In the event of late payment by a business, a legal default interest of 12% per year will be charged, along with fixed damages of 10% of the outstanding amount, with a minimum of €250.

In the case of late payment by a consumer, the following is owed:

(i) default interest of 10% per year from the due date, and

(ii) fixed damages:

– €20 for unpaid amounts up to €150

– €30 + 10% of the amount between €150.01 and €500

– €65 + 5% of the amount above €500, with a maximum of €2,000

Late payment also voids any warranty.

8. Any obvious material error or mistake (including price errors) is not binding, regardless of whether it benefits or harms one of the parties.

9. Delivery takes place at the address provided by the customer.

10. KOMBOO reserves the right to refuse delivery of alcohol if there is doubt about the recipient’s age.

11. Delivery times are indicative and not binding for KOMBOO, unless otherwise explicitly agreed in writing.

12. Goods delivered and/or to be delivered remain the property of KOMBOO until the customer has paid in full, including for any related services or claims.

13. Immediately after delivery of the goods or any part thereof, the customer bears all risk for any direct or indirect damage caused by or to the goods.

14. Complaints regarding delivered products must be submitted in writing within 48 hours of delivery. If no complaint is filed within this term, the customer forfeits the right to make any claim or initiate legal proceedings related to the goods.

15. KOMBOO reserves the right, during the execution of a sale or delivery, to suspend or cancel the agreement in whole or in part if the customer fails to meet essential obligations.

16. KOMBOO is not liable in case of force majeure or for damages that were not reasonably foreseeable, including indirect damages or those to third parties.

17. KOMBOO’s liability is limited to the invoice amount of the delivery to which the claim relates, regardless of the amount of damage.

18. In case of force majeure, KOMBOO is entitled to suspend or terminate the agreement without the customer being entitled to any compensation.

19. The customer agrees that their personal data may be processed by KOMBOO for the execution of the agreement and for internal commercial purposes (e.g., satisfaction surveys, newsletters, etc.).

20. This agreement is governed exclusively by Belgian law. In the event of a dispute, only the courts of the Judicial District of Limburg, Division Hasselt, have jurisdiction.
